Negotiated, on behalf of engineering and
construction contractor, term sheet for an Engineering, Procurement and Construction
contract (LSTK, US$400 million) project for a build, own and operate project in Venezuela.
This also involved the preparation and negotiation of joint venture agreements to create a
construction consortium. This was a non-recourse project to be financed by US lenders.
Negotiated, on behalf of engineering and
construction contractor, the Engineering, Procurement and Construction Agreement (cost
reimbursable, US$30 million) for the modernization of a petrochemical plant in Port
Arthur, Texas.
Negotiated, on behalf of engineering and
construction contractor, a Master Services Agreement for Engineering, Procurement and
Construction Agreement (cost reimbursable, multimillion dollar), for services in Brazil,
including program management, basic design and engineering, detailed engineering,
procurement, estimating, modeling, drafting, expediting, assisting in bidding,
administering shop drawings, construction management, field construction, scheduling,
coordinating, commissioning, testing, start-up and/or related services.
Lead counsel, on behalf of financial
institution, for the negotiation of various Loan Agreements to finance the construction of
single- and multi-family projects in Houston, Texas.
Lead counsel, on behalf of financial
institution, in the development of potential strategies for entry into the Mexican
mortgage market under NAFTA, which required substantial knowledge of Chapters 11 and 14 of
NAFTA, dealing with the establishment of financial institutions and protection of
investments, and applicable U.S. regulations.
Lead counsel, on behalf of financial
institution, for the negotiation of a $2.2 million Loan Agreement for the purchase of a
nursing home in Houston, Texas.
